Code of Professional Conduct

The Purpose of the Code

Chartered Directors are expected to exercise commercial judgement but also to have probity in their business behaviour. 

The CDA Code of Professional Conduct has been written in order to help corporate directors meet high standards of professionalism and ethics.  The Code provides guidance to directors and lays down the standards that the Association expects of Chartered Directors.

The Code is applicable to directors of all companies: listed companies, public companies, private companies and family companies. Many of the principles of this Code are also applicable to directors of not-for-profit organisations, charities, government authorities and other such organisations.  The provisions of the Code apply to both executive and non-executive directors.

The principals are supplemented by guidelines for the interpretation of the principles of the Code of Professional Conduct. These guidelines are intended to assist directors in complying with the core principles of the Code.  They are not meant to be exclusive and may be added to from time to time to address issues of importance as they arise.

CDA’s main aim is to increase the professionalism of its members.  CDA requires all Chartered Directors to adhere to the Code of Professional Conduct set out on the following pages, as a condition of being a Chartered Director. Chartered Directors who breach the Code may be subject to disciplinary action by the Association.
